1. Provider

The provider and licensor is Sascha Kühne, trading as IT-Service Kühne, Eschenweg 8, 74321 Bietigheim-Bissingen, Germany. Support and licensing enquiries: support@countpilot.de.

2. Proprietary software

CountPilot is proprietary software and is not open-source software. This licence transfers no ownership, copyright, trade mark, design or other intellectual-property rights in the program, its interface, documentation or supplied graphics.

3. Eligible users and B2B restriction

This evaluation licence is offered exclusively to businesses, legal entities under public law and special funds under public law. It is not offered to consumers. By accepting it, the user confirms that CountPilot is being used for such a business or public-law entity.

4. Grant of evaluation licence

The licensor grants the eligible user a non-exclusive, non-transferable and non-sublicensable right, limited to the evaluation period, to test, trial and evaluate CountPilot internally. The licence is free of charge. It requires no registration, online activation or connection to a licence server.

5. Evaluation term

The evaluation period is 30 days. It starts when this evaluation licence is expressly accepted for the first time in the local CountPilot installation. Start and end are stored only there. Expiry does not technically disable CountPilot, but it ends the right of free use granted by this licence.

6. Permitted use

During the 30 days, the user may install and run CountPilot; evaluate, demonstrate and configure it internally; create fields; change labels, colours, the grid and layout; create submenus; change standard times; make test bookings; create test reports and exports; use supplied templates; export and import configurations; and conduct internal tests with realistic workflows.

7. Prohibited use

Without a separate written agreement, the user may not sell, rent, sublicense, publish, distribute or otherwise make CountPilot available to third parties; incorporate it into another commercial product; remove copyright or licence notices; bypass or manipulate licence acceptance; or continue permanent production use after evaluation. Source code, interface, design, documentation and graphics may be modified only where this licence, a separate written agreement or mandatory law permits it.

8. Production use

The evaluation licence is not a licence for permanent production operation. It is not intended to be the sole or authoritative repository for business-critical, legally required or otherwise indispensable data. Continued production use requires a separate usage agreement with IT-Service Kühne.

9. Software errors and performance limitations

Software may contain errors despite careful development and testing. Program errors, operating mistakes, system failures, incompatibilities or other technical circumstances may cause bookings, counters, events, archives, reports, exports or other data to be incorrect, incomplete, delayed or lost. Calculations, aggregations, reports and planning values may also be incorrect or incomplete.

Unless expressly warranted in writing, IT-Service Kühne does not guarantee that CountPilot will operate continuously, without errors or data loss, or that every output and calculation will be complete, correct or suitable for a particular purpose. Standard times, calculated effort, capacities, utilization and staffing-demand figures are planning estimates only. They do not measure actual working time and guarantee no staffing level or business result. The user must check them for plausibility before material operational decisions.

10. Backups

The user is responsible for regular external backups appropriate to the value and importance of the data. Internal CountPilot backups do not replace them. The complete CountPilot folder and its operational data should be copied regularly to storage, a server or a backup system separate from the installation. CountPilot must not be the only repository for data whose loss could cause substantial operational, legal or financial harm.

11. Liability

IT-Service Kühne has unlimited liability for intent and gross negligence; injury to life, body or health; where a guarantee has expressly been given; fraudulent concealment of a defect; and where liability is mandatory by law, in particular under applicable product-liability provisions.

For a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable loss typical for the contract when it was concluded. Essential contractual obligations are those necessary for proper performance and on whose fulfilment the contracting party may ordinarily rely. In all other cases, liability for loss caused by slight negligence is excluded to the extent permitted by law.

12. Data loss

Where IT-Service Kühne is liable for data loss under section 11, liability for slightly negligent causation is limited to the recovery effort that proper, regular and risk-appropriate backups would have required. This does not apply in any case of unlimited liability.

13. User responsibility

The user is responsible for selecting CountPilot, assessing fitness for the intended purpose, configuring it, providing correct input data, checking results, implementing appropriate access and data-protection measures and complying with statutory and operational requirements. CountPilot must be tested adequately with the intended setup and actual workflows before production use.

14. Intellectual-property rights

All rights in CountPilot not expressly granted remain with the licensor or relevant rights holder. Rights notices must not be removed or obscured.

15. Mandatory law

Mandatory statutory rights and permissions remain unaffected. This licence does not restrict rights that cannot validly be excluded or limited under applicable law.
